Welcome to Shelfter (the "Service"), a stock management application designed to simplify inventory and organizational tasks. By accessing or using Shelfter, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By accessing or using Shelfter, you confirm that you are at least 18 years old and capable of entering into a legally binding agreement. If you do not agree to these Terms, you must not use the Service.

2. Definitions

  • "Service" refers to the Shelfter application and its associated features.
  • "User" refers to any individual or entity using the Service.
  • "Content" refers to all data, text, files, images, and other materials uploaded or provided by Users.
  • "Company" refers to the owners and operators of Shelfter.

3. User Responsibilities

a. Account Registration

  • Users must provide accurate, complete, and up-to-date information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials and are solely responsible for all activities that occur under your account.

b. Prohibited Activities

Users agree not to:

  • Use the Service for illegal purposes, including but not limited to violating intellectual property rights or applicable laws.
  • Upload viruses, malware, harmful code, or Content that could interfere with the Service’s operation.
  • Reverse engineer, disassemble, or tamper with the Service’s software or functionality.
  • Share account credentials or allow unauthorized users to access the Service.
  • Misrepresent or impersonate any person or entity.

c. Compliance

Users must comply with all applicable local, state, national, and international laws and regulations in connection with their use of the Service.

4. License and Ownership

a. License to Use

Shelfter grants you a non-exclusive, non-transferable, revocable license to use the Service for personal or business inventory management purposes in accordance with these Terms.

b. Ownership

All intellectual property rights in the Service, including software, design, graphics, user interfaces, and trademarks, are owned by Shelfter or its licensors. Users retain ownership of the Content they upload but grant Shelfter certain usage rights as outlined below.

c. Feedback

By submitting suggestions, improvements, or ideas about the Service ("Feedback"), you agree that Shelfter may use such Feedback without compensation or attribution to you.

5. Content

a. User Content

  • Users are solely responsible for the accuracy, legality, and appropriateness of all Content they upload to the Service.
  • By uploading Content, you grant Shelfter a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and process the Content solely to provide and improve the Service.

b. Prohibited Content

Users must not upload Content that:

  • Violates any applicable laws or regulations.
  • Contains harmful, obscene, defamatory, or offensive material.
  • Infringes on intellectual property rights or privacy rights of others.
  • Includes personal, sensitive, or financial information of third parties without their consent.

6. Data Privacy

Shelfter collects and processes personal data in accordance with its Privacy Policy. By using the Service, you consent to the collection, storage, and use of data as described in the Privacy Policy.

a. Security Measures

Shelfter employs reasonable security measures to protect User data but cannot guarantee absolute security. Users are responsible for securing their devices and accounts.

b. Data Retention

Upon termination of your account, Shelfter will retain your data for a reasonable period as required by law or necessary for business operations. After this period, your data will be securely deleted unless retention is mandated by applicable laws.

7. Fees and Payment

a. Subscription Plans

Certain features of the Service may require a paid subscription. Users agree to pay all fees associated with their chosen subscription plan.

b. Billing

  • Payments are due at the beginning of each billing cycle and are non-refundable unless explicitly stated.
  • Shelfter reserves the right to change pricing and will notify Users in advance of any price changes.

c. Late Payments

Failure to pay fees on time may result in account suspension or termination.

8. Termination

a. By User

Users may terminate their account at any time by contacting support@shelfter.com. Upon termination, access to the Service will be revoked immediately.

b. By Shelfter

Shelfter may suspend or terminate a User’s account at its discretion if the User violates these Terms or engages in prohibited activities.

c. Effects of Termination

Upon termination, Shelfter reserves the right to delete all Content associated with the terminated account. Users are responsible for backing up their data prior to account closure.

9. Limitation of Liability

To the fullest extent permitted by law, Shelfter and its affiliates, employees, and licensors shall not be liable for:

  • Indirect, incidental, or consequential damages arising from the use or inability to use the Service.
  • Loss of data, profits, or revenue, whether foreseeable or not.
  • Unauthorized access to or alteration of your Content.

The total liability of Shelfter shall not exceed the amount paid by the User for the Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold Shelfter harmless from any claims, damages, losses, or expenses (including attorney’s fees) arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your Content infringing on third-party rights.

11. Modifications to Terms

Shelfter reserves the right to modify these Terms at any time. Users will be notified of significant changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

a. Governing Law

These Terms are governed by the laws of North Carolina, USA.

b. Dispute Resolution

Any disputes arising from these Terms shall be resolved through arbitration in accordance with the rules of the American Arbitration Association (AAA). Users agree to waive the right to a jury trial or class action.

c. Jurisdiction

For matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in North Carolina, USA.

d. Notice of Dispute

Before initiating arbitration, Users agree to notify Shelfter of the dispute by emailing support@shelfter.com. The parties will attempt to resolve the dispute informally within 30 days of such notice.

13. Additional Terms

a. Third-Party Services

Shelfter may integrate with third-party services. Your use of such services is subject to their respective terms and conditions.

b. Accessibility Commitment

Shelfter is committed to providing a platform accessible to all users, including those with disabilities. If you experience any barriers, please contact support@shelfter.com for assistance.

c. No Waiver

Failure by Shelfter to enforce any provision of these Terms shall not constitute a waiver of its rights.

d. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By using Shelfter, you acknowledge that you have read, understood, and agreed to these Terms of Service. If you do not agree, you must discontinue use of the Service immediately.
